General Service and Payment Terms
1. General
Our general terms and conditions apply exclusively to all deliveries and services. Deviations or additional conditions and agreements are only valid if confirmed by us in writing. We hereby object to any deviating conditions of the client.
2. Offer and Contract Conclusion
Our offers are non-binding regarding prices and services. The scope of services to be provided by us is determined solely by our order confirmation. If the scope of agreed activities changes after contract conclusion, we are entitled to modify the service fees.
3. Interval and Appointments
Agreed appointments are binding. If the client cannot keep the agreed appointment, cancellation up to 10 days before execution start is free of charge for the client.
For short-notice cancellations, the contractor must charge the client as follows:
5 to 9 days before execution date: 25% of the net order value
4 to 1 day before execution date: 50% of the net order value
On the day of execution: 100% of the net order value
If the client must postpone the agreed appointment due to force majeure (e.g., strike, fire-water damage, flood, etc.), postponement up to 2 days before execution start is free of charge for the client.
For short-notice cancellations, the contractor must charge the client as follows:
2 to 1 day before execution date: 50% of the net order value
On the day of execution: 100% of the net order value
If the client does not grant the contractor the opportunity to fulfill the contractually agreed service (areas of new installation are excluded from this), it is agreed that the contractor will charge the client 25% of the annual net order value based on the contractually agreed total area at the end of the relevant fiscal year. Additionally, the contractor has the right to extraordinary termination of the maintenance contract.
4. Work execution
We provide the necessary workforce, solid know-how, and required machines, equipment, cleaning, and care products for service execution. The client provides electricity and water required for service execution free of charge. The areas to be cleaned must be cleared by the client. The contractor's working method is close to edges. Special services, such as moving small furniture, must be agreed separately and will be charged based on effort.
5. Service Billing
Billing for services rendered is based on digital area measurement without deduction for obstructed areas (compensation for manual work), or at the agreed flat rates according to the offer or order confirmation. Our invoices are payable immediately upon receipt without deduction. Checks and bills of exchange are only considered payment upon redemption. Any complaints do not affect the due date.
For exceeding payment terms, interest will be charged from the due date at 2% above the respective reference base rate. All prices in our price list are non-binding and subject to statutory VAT. Our company's prices lose their validity with the publication of the new price list.
6. Warranty
The client is obligated to accept the services upon completion if they have been performed according to contract. Defects must be reported immediately upon discovery; otherwise, all warranty claims are void. The warranty only covers defects directly attributable to cleaning. Any complaints about defects caused by surface construction, non-removable stains (colorations, bleaching, non-water-soluble stain substances), or mechanical damage are excluded. For justified complaints, we have the right to rectification within 10 days after complaint.
7. Liability for Damages
Liability for damages arising in connection with cleaning, as well as consequential damages from defects, are covered under our business liability insurance. Statutory limitation periods apply.
8. Data storage
We inform the client that we store and process their data electronically as necessary for business purposes and as permitted under the Federal Data Protection Act.
9. Place of Fulfillment and Jurisdiction
Place of fulfillment for services is the client's location. Place of fulfillment for payment is our business location. If both parties to this contract are merchants, our business location is determined as the place of jurisdiction.
10. Changes and Additions
Should any provision of these Terms and Conditions be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions of these Terms and Conditions. The invalid provision shall be replaced by the legally permissible provision that comes closest economically to what was intended with the invalid provision. The same applies in case of a contractual gap.
